General Terms and Conditions

 

1. Sales and deliveries are made exclusively on the basis of the conditions set out below. Divergent terms and conditions of purchase of the buyer are only valid if they have been accepted in writing by the seller.

2. The prices are not binding.

3. The goods, even if they are delivered carriage paid, are transported at the risk of the recipient.

4. Orders via the online shop must be paid in advance by bank transfer.

5. Delivery times are given as an indication and in the best forecasts. They may be extended in the case of unforeseen events such as (non-exhaustive list): force majeure, strikes, delays in supply, obstacles to transport, business interruptions, whether at the seller’s or its suppliers. The seller is entitled to make partial deliveries. The seller will not grant any compensation for late delivery. Non-compliance with delivery dates does not entitle the seller to unilateral cancellation of an order. Deliveries are made under reservation of title. The goods shall only become the property of the buyer when all obligations arising from the orders/deliveries have been settled.

6. Upon receipt of the goods, the buyer must immediately inspect them to check that they comply with the quality requirements for their use, or to detect any defects in accordance with special specifications. Defects must be reported in writing within 5 (five) days of receipt of the goods, enclosing the delivery note. The Seller shall not be liable for any costs incurred by the Buyer beyond the ordinary inspection in accordance with the Seller’s specifications.

7. After detection of defects and dispatch of the notice of defect, the Seller’s opinion is required.

8. If defects in workmanship or material are acknowledged by the Seller, the goods shall be replaced within a reasonable period of time or refunded at the purchase price. No right to further compensation can be granted.

9. The Seller’s guarantee that the goods are free from defects is limited to the scope of the guarantee provided by the supplier of the same goods. The guarantee shall not apply in the event of improper storage of the goods by the buyer or failure to comply with the regulations customary in the industry concerning the filling of containers in accordance with the European Pharmacopoeia.

10. The right to make changes to models, dimensions and weights by the supplier is reserved.

11. The photos illustrating the products are not contractual (non-contractual photos).

12. Orders via the online shop are generally delivered between 3 and 14 working days after receipt of payment (excluding products with the mention “Out of stock” or “Available on backorder”). Delivery of full pallets can take up to 30 days.

13. A contribution to processing and transport costs of CHF/EUR 20.00 (excl. VAT) is charged for the shipment of 1 to 4 samples. For 5 to 8 samples the cost is CHF/EUR 50 (excl. VAT).

14. This website (General Terms & Conditions and online-shop included) is written in French, english and German. In the event of any contradiction, the German version shall prevail.

15. The place of jurisdiction for both parties is CH-4153 Reinach BL. The Swiss law is applicable.
